ContactThese Terms of Service ("Terms") govern your use of Yeap Cloud, including the yeap.cloud website, the console, the APIs and all services we provide. Yeap Cloud is operated by ZoneCloud Network LLC ("ZoneCloud", "we", "us"), 1942 Broadway Ste 314C, Boulder, CO 80302, United States. By creating an account, placing an order or using the services, you agree to these Terms. If you use the services on behalf of an organization, you agree on its behalf and confirm that you have authority to do so.
These Terms include our Acceptable Use Policy, Refund and Cancellation Policy and Privacy Policy.
1. The services
Yeap Cloud provides cloud infrastructure and online services, including cloud servers (EVM), containers and hosting, CDN and web security, DNS, domain registration, SSL and code signing certificates, email hosting, transactional email, cloud drive and an LLM API. Each service is described in the console, on our website and in our documentation, together with its plan limits and prices. We may add, change or retire features over time. If we retire a paid service you are using, we will give reasonable advance notice.
Some services are provided together with third parties and are also subject to their rules:
- Domains are registered through our registrar partners and are subject to the policies of ICANN, the relevant registry and the registrar, including their registration agreements and dispute resolution policies.
- By registering or transferring a domain you agree to the registration agreement and to the registry's terms for that extension, for example the .dk terms and the .se/.nu terms. Checkout links the terms that apply to your order.
- Designated Agent. For generic top-level domains you appoint Yeap Cloud as your Designated Agent under the ICANN Transfer Policy, so that we can approve the changes of registrant you request in the console. Unless you choose otherwise, we also opt you out of the 60-day transfer lock that a change of registrant would otherwise apply.
- Privacy mode. When you turn on privacy mode, our proxy service is shown in the public registration data instead of you. We keep your real details and disclose them only when a court order or a request from a law enforcement authority requires it.
- Certificates are issued by certificate authorities and are subject to the authority's subscriber agreement and validation requirements.
- The LLM API passes requests to upstream model providers, and their usage policies apply to the content you send.
2. Your account
- You must be at least 18 years old and able to enter into a binding contract.
- You must give accurate and complete information, including billing and domain contact information, and keep it up to date.
- You are responsible for keeping your password, API keys and other credentials secure, and for all activity under your account. We recommend turning on two-factor authentication.
- Tell us promptly through a support ticket or at support@yeap.cloud if you suspect unauthorized use of your account.
- We may apply limits to accounts, such as the number of resources, and may require identity or payment verification before providing some services.
3. Acceptable use
You must use the services in accordance with our Acceptable Use Policy and all applicable laws. You are responsible for the content and activity of your servers, websites, domains, mailboxes and applications, and for the conduct of your own users and customers.
4. Orders, billing and auto-renewal
Prices and currency. Prices are shown in the console and on our website in US dollars, unless stated otherwise. Renewals are charged at the price in effect at the time of renewal.
Prepaid services. Most services are prepaid for a billing period (for example monthly, quarterly or yearly). A service starts once the order is paid.
Account balance. You can add funds to your account balance and use them to pay for orders, renewals and usage. Your balance is prepaid credit for Yeap Cloud services. It is not a bank account, does not earn interest and cannot be transferred to another account.
Usage-based charges. Some services are charged by usage, for example hourly-billed cloud servers, outbound traffic billed per GB, elastic overage and LLM API usage. These are charged from your balance as they accrue, at the rates shown in the console.
Auto-renewal. Where auto-renewal is turned on for a subscription, we issue a renewal invoice before the end of the billing period (normally about 7 days before) and charge it automatically, first from your account balance and then from your default saved card, if you have one. You can turn auto-renewal off at any time in the console. The service then continues until the end of the period you have paid for and is not renewed.
Non-payment. If a subscription is not renewed by its expiry date, the service continues for a short grace period (currently 3 days), after which it is suspended and your data is kept. If it is still not renewed, the service and its data are permanently deleted, normally 10 days after expiry, and we send you notices before deletion. Domains follow the expiry, grace and redemption periods of their registry instead.
Taxes. Prices do not include taxes unless stated. You are responsible for any taxes, duties or levies that apply to your purchases, other than taxes on our income. Where we are required to collect a tax, it will be shown on your invoice.
Refunds. Refunds are handled under our Refund and Cancellation Policy.
Payment disputes. If you believe a charge is wrong, contact us first so we can resolve it. If you open a chargeback or payment dispute, we may suspend the related services while the dispute is open, and where the payment is reversed we may cancel what it paid for.
5. Suspension and termination
By you. You can stop using a service at any time by turning off auto-renewal or by deleting or releasing the resource in the console. You can close your account by contacting support once your services have ended and any amounts owed are paid.
By us. We may suspend or terminate a service or your account, with or without notice depending on the circumstances, if:
- you breach these Terms or the Acceptable Use Policy;
- payment is overdue or a payment is reversed;
- your use poses a security risk or threatens the stability of our network, other customers or third parties;
- we are required to do so by law, a court order, a registry or a certificate authority; or
- the information you gave us is false or we reasonably suspect fraud.
Where reasonable, we will contact you first and give you a chance to fix the problem. Suspension does not end your obligation to pay for services already ordered. Fees for services terminated because of your breach are not refundable.
6. Your data and backups
Ownership. You keep all rights to the data and content you store on or send through the services ("customer content"). You grant us only the rights needed to host, transmit, process and back up your content in order to provide the services, to protect them and to comply with law.
Our access. We access customer content only to provide the services, to give support you have requested, to investigate abuse or security issues, or when required by law. See our Privacy Policy.
Backups are your responsibility. Unless you have bought a backup service and it is shown as active for that resource, we do not keep a copy of your data that you can restore. Even with a backup service, you are responsible for keeping independent backups of any data you cannot afford to lose. We are not responsible for the loss or corruption of customer content.
After termination. When a service ends or is deleted, its data is permanently deleted and cannot be recovered. Export anything you need before the service ends.
7. Service levels
The services are provided without any service level agreement (SLA) or uptime guarantee unless a specific SLA is stated in writing for the service you have purchased. We work to keep the services available and secure, but they may be interrupted by maintenance, failures, attacks or events outside our control. Where we can, we schedule maintenance to limit disruption.
8. Disclaimer of warranties
To the maximum extent permitted by law, the services are provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the services will be uninterrupted, error-free or completely secure.
9. Limitation of liability
To the maximum extent permitted by law:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if advised of the possibility of such damages; and
- our total liability for all claims arising out of or relating to these Terms or the services is limited to the amount you paid us for the services giving rise to the claim during the 12 months before the event that caused the claim.
These limits do not apply where the law does not allow them, for example to liability for fraud or for death or personal injury caused by negligence.
10. Indemnity
You will defend, indemnify and hold harmless ZoneCloud and its officers, employees and suppliers from any claims, damages, losses and costs (including reasonable legal fees) arising out of your customer content, your use of the services, your breach of these Terms or the Acceptable Use Policy, or your violation of any law or third-party right.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top shows when they were last changed. If a change is material, we will notify you by email or in the console before it takes effect. Your continued use of the services after a change takes effect means you accept the updated Terms. If you do not agree, you may stop using the services as described in section 5.
12. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-law rules. The state and federal courts located in Colorado have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services, and both parties consent to that jurisdiction. This does not limit any mandatory consumer protection rights you have under the law of the country where you live.
13. General
- Entire agreement. These Terms, together with the policies they refer to and any order terms shown in the console, are the entire agreement between you and us about the services.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. Not enforcing a provision is not a waiver of our right to do so later.
- Assignment. You may not transfer your account or these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Language. These Terms are written in English. Translations are provided for convenience. If there is any conflict, the English version controls.
